Terms of Service

These Terms of Service govern your use of plantswithoutborders.com and your purchase of products from Plants Without Borders Inc., a Delaware corporation at 328 N Market Street, San Jose, California 95110 ("PWB", "we", "us"). By placing an order you agree to these terms.

1. Wholesale only

PWB sells at wholesale to growers and retailers. By placing an order you represent that you are purchasing for resale or for growing on in the ordinary course of your business, that you are at least 18 years old, and that you hold any nursery license, permit, or registration your state requires. We are not a consumer retailer and we do not sell for personal use.

2. Accounts

You are responsible for the accuracy of the information on your account, including your business name, email address, phone number, and shipping address, and for keeping your login credentials secure. You are responsible for all activity under your account. We may refuse, suspend, or close an account at our discretion.

3. Orders, quotes, and acceptance

Every order you place is a request for plants, not a purchase. A request becomes binding only when PWB confirms availability with our laboratory partners and issues an invoice. Until then, quantities, prices, and availability may change.

We may reduce or remove any line our laboratory partners cannot supply, and we will tell you before the invoice is issued. If a line stocks out after the invoice is issued, we recalculate your invoice and you choose a credit or a refund. You are never charged for a plant you do not receive.

4. Cutoffs and delivery windows

Every order rides a published delivery cycle with a fixed order cutoff. After the cutoff, no additions or changes are accepted. Delivery windows come from the published schedule.

If a shipment is lost, damaged, or held in a carrier exception, and the carrier has no delivery record at the address on your order, that one is ours. We reship or credit at no charge and we file the carrier claim ourselves. A package the carrier recorded as delivered at the address on your order counts as delivered.

5. Prices, payment, and taxes

Prices are in United States dollars and exclude shipping and taxes. Payment is due on the date stated on the invoice. Orders are not shipped until payment clears. We may suspend or cancel an unpaid request after the due date. Prices may change at any time before an invoice is issued. You are responsible for any sales, use, or resale taxes that apply to you, and for providing a valid resale certificate where required.

6. Shipping

Shipping charges are calculated from our published rate table and are not negotiable. We select the carrier, service level, and packaging for each shipment. You are responsible for being available to receive a perishable shipment.

7. Claims and warranty

Grower's Choice and Seller's Choice carry different promises, published in full at plantswithoutborders.com/warranties.

The claim window for both is 48 hours from the carrier's delivery record. Every claim requires a continuous unedited unboxing video that starts before the box is opened, along with photographs of each affected plant. Claims without that video will not be accepted.

An approved claim is settled as a replacement on a future shipment if stock allows, or a credit to your account if not. We do not issue cash refunds on approved claims.

8. Limitation of liability

To the maximum extent permitted by law, PWB's total liability for any claim arising out of or relating to an order is limited to the amount you paid for the affected products, except for our delivery and claims obligations stated in sections 4 and 7 above. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost sales, or loss of goodwill, even if we were advised such damages were possible.

9. Intellectual property

All content on this site, including text, photographs, product descriptions, and marks, belongs to PWB or its licensors. You may use our product photographs to resell the specific plants you bought from us. You may not otherwise copy, republish, or use our content or marks without our written permission.

10. Prohibited use

You may not use this site to violate any law, to infringe anyone's rights, to transmit malicious code, to scrape or harvest data, or to interfere with the operation of the site or its security features.

11. Communications

By providing your email address or phone number you agree that we may contact you about your account, your quotes, your orders, and your shipments. Marketing communications are separate and require your consent. See our privacy policy for how we handle text messages, including how to opt out.

12. Changes

We may update these terms at any time. The version posted on this page when you place an order is the version that applies to that order.

13. Governing law

These terms are governed by the laws of the State of California, without regard to conflict of law rules. Any dispute will be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to the jurisdiction of those courts.
